Terms of Service for ExpandFi LLC

These Terms of Service ("Terms") form a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "User"), and ExpandFi LLC ("Company," "we," "us," or "our"), regarding your access to and use of the ExpandFi website at https://expandfi.com, our analytics platform, and related services (collectively, the "Services"). By accessing the Services, you agree that you have read, understood, and accepted all of these Terms. If you do not agree with these Terms, you are prohibited from using the Services and must stop using them immediately.

1. OUR SERVICES
The Services provide customer analytics and AI-driven insights for your e-commerce businesses and customers, including sales tracking, product performance analysis, and predictive analytics, currently integrated with Amazon and Shopify platforms. We may add future integrations (e.g., Meta, Google Ads) to enhance your analytics capabilities. We strive to maintain high availability but do not guarantee uninterrupted access to the Services.
2. INTELLECTUAL PROPERTY RIGHTS
The Services and all content, features, and functionality (including "ExpandFi" as a registered trademark) are owned by us or our licensors and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes, subject to these Terms.
Any feedback, suggestions, ideas, enhancement requests, or recommendations you provide regarding the Services ("Feedback") shall become our exclusive property. You hereby assign to us all rights in such Feedback and agree that we may use, implement, and modify it without restriction, obligation, or compensation to you.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into a binding agreement; (c) you will not use the Services for any illegal or unauthorized purpose; (d) your use of the Services complies with all applicable laws and e-commerce platform terms (e.g., Amazon, Shopify); and (e) you have the legal authority to connect, upload, and provide any data from your e-commerce accounts and that doing so does not violate any third-party rights or platform terms.
4. USER REGISTRATION
To access certain features, you must register with a valid email address and password. You are responsible for maintaining the confidentiality of your account and must notify us at hey@expandfi.com if you suspect unauthorized use. Two-factor authentication is available and recommended for enhanced account security. Each account is for a single user or entity; you may not share, resell, or transfer your login credentials to any other person or entity.
5. PURCHASES AND PAYMENT
We accept Visa, Mastercard, American Express, Discover, and PayPal for purchases, processed by Stripe. All payments are in U.S. dollars unless otherwise stated. You must provide current, complete, and accurate billing information. Taxes may apply based on your location.
Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless you cancel before the renewal date. We will provide at least 30 days' written notice before any price increase takes effect. If a payment fails, we may immediately suspend access to the Services until payment is resolved. You may manage your subscription and billing details through your profile settings or the Stripe billing portal accessible from your account.
6. FREE TRIAL
New users may access a 14-day free trial of the Services, subject to feature and data limitations. At the end of the trial period, your subscription will automatically convert to a paid plan at the price displayed in your account profile, unless you cancel before the trial ends. You may cancel at any time during the trial by visiting your profile settings or the Stripe billing portal accessible from your account. No charges will be incurred if you cancel before the trial period expires.
7. CANCELLATION
You may cancel your subscription at any time via your account settings or by emailing hey@expandfi.com. No refunds will be issued for the current or any prior billing period upon cancellation. We reserve the right to suspend or terminate your account for non-payment or violation of these Terms.
8. PROHIBITED ACTIVITIES
You may not: (a) use the Services for illegal purposes; (b) harass, threaten, or defame others; (c) interfere with the Services' operation; (d) attempt to bypass API rate limits or scrape data; (e) violate Amazon, Shopify, or future platform terms; (f) use data to infringe laws or third-party rights; (g) engage in any activity that could harm the Services or users; (h) resell, sublicense, or provide access to the Services to any third party without our prior written consent; (i) share your login credentials with any person or entity outside your authorized account; (j) conduct benchmark, performance, or comparison testing of the Services and publish or disclose the results without our prior written consent; (k) upload or transmit any malicious code, viruses, or harmful data to the Services; or (l) use the Services in violation of any applicable export control or sanctions laws. We may suspend or terminate your access for violations.
9. AI AND AUTOMATED ACCESS RESTRICTIONS
You shall not, and shall not permit any third party to, except to the extent expressly permitted by applicable law:
(a) Reverse Engineering & Feature Extraction. Use any artificial intelligence agent, large language model, autonomous agent, crawler, bot, automated script, or other automated or AI-assisted process to access, interact with, observe, monitor, catalog, benchmark, or extract information about the Services, including their features, functionality, user interface, workflows, outputs, responses, data structures, algorithms, or edge-case behaviors.
(b) Competitive Use & Cloning. Use any information obtained from the Services — whether through automated means, manual systematic observation, or any combination thereof — to build, train, improve, or assist in the development of any product, service, model, dataset, or technology that competes with, replicates, or substitutes for the Services, in whole or in part.
(c) Model Training. Use any outputs, responses, reports, analytics, visualizations, or data generated by the Services as training data, fine-tuning data, evaluation benchmarks, or input for any machine learning model, large language model, or AI system, whether for commercial or non-commercial purposes.
(d) Circumvention. Circumvent, disable, or interfere with any technical measures we employ to detect, prevent, or limit automated access, including rate limiting, authentication, bot detection, or access controls.
Remedies. Any violation of this Section constitutes a material breach of these Terms. In addition to immediate termination of your account and access, you agree that: (i) we are entitled to seek injunctive and equitable relief without the requirement of posting bond; (ii) you shall be liable for all actual damages, including lost profits, unjust enrichment, and consequential damages, to the maximum extent permitted by applicable law; (iii) you shall pay all costs, expenses, and reasonable attorneys' fees we incur in enforcing this Section; and (iv) statutory damages, where available under applicable law (including the Computer Fraud and Abuse Act, the Digital Millennium Copyright Act, or equivalent state or international statutes), shall apply to the fullest extent permitted.
10. USER GENERATED CONTRIBUTIONS
You may upload data (e.g., Amazon, Shopify sales data) to enhance your analytics. You retain ownership of your data, but it must comply with these Terms and applicable laws. You represent and warrant that you have all necessary rights and permissions to upload such data and that doing so does not violate any third-party rights, applicable laws, or platform terms. We are not responsible for any errors, inaccuracies, or omissions in data you provide.
11. CONTRIBUTION LICENSE
By uploading data, you grant us a non-exclusive, royalty-free, worldwide, sublicensable, transferable, perpetual, and irrevocable license to use, process, analyze, and create derivative works from your data for the purposes of providing, improving, and developing the Services and new product and service offerings. This includes the right to create commercial derivatives of the data you share with us for our own business purposes, including developing new features, improving existing functionality, and creating new product and service offerings.
Anonymized and Aggregated Data. We may create anonymized, aggregated datasets and statistical analyses derived from your data that do not identify you, your business, or any individual and cannot reasonably be reverse-engineered to do so. Such anonymized and aggregated data may be used for benchmarking, industry insights, product development, research, and other lawful business purposes without restriction, and this right survives termination of your account. For the avoidance of doubt, we will not sell, share with competitors, or publicly disclose your individually identifiable data.
12. THIRD-PARTY SERVICES AND INTEGRATIONS
The Services integrate with third-party platforms, including Amazon, Shopify, and other e-commerce and advertising services. We are not responsible for the availability, accuracy, completeness, or reliability of any data or functionality provided by third-party platforms. Changes to third-party APIs, terms of service, or data formats may affect the functionality of the Services, and we are not liable for any resulting disruptions, data loss, or inaccuracies. Your use of third-party platforms is governed by their respective terms of service, and it is your responsibility to comply with those terms.
13. CONFIDENTIALITY
Each party acknowledges that in connection with the Services, it may receive or have access to information that is confidential or proprietary to the other party, including but not limited to business strategies, customer data, analytics methodologies, pricing, product roadmaps, trade secrets, and technical information ("Confidential Information"). Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose it to any third party without the disclosing party's prior written consent; and (c) not use it for any purpose other than as contemplated by these Terms.
These obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was rightfully in the receiving party's possession before disclosure; (iii) is independently developed without use of the Confidential Information; or (iv) is required to be disclosed by law, provided the receiving party gives prompt written notice to the disclosing party where legally permitted.
Without limiting the foregoing, you agree not to disclose any proprietary analytics methodologies, algorithms, data models, benchmarking data, product features, non-public pricing, internal communications, or other non-public information about the Services to any competitor of ExpandFi or use such information to assist in the development of any competing product or service. Any breach of this Section shall constitute a material breach of these Terms and may result in immediate termination of your account and access, in addition to any other remedies available to us at law or in equity. These confidentiality obligations survive termination of these Terms for a period of three (3) years.
14. SERVICES MANAGEMENT
We may monitor the Services for compliance, restrict access, or remove content that violates these Terms. We are not liable for any resulting losses.
15. PRIVACY POLICY
Our use of your information is governed by our Privacy Policy (https://expandfi.com/privacy) and Cookie Policy (https://expandfi.com/cookie-policy), which outline data collection, usage, and your rights.
16. TERM AND TERMINATION
These Terms remain in effect until terminated by you or us. We may immediately suspend or terminate your access without notice for material breach of these Terms, including violations of Sections 8 (Prohibited Activities), 9 (AI and Automated Access Restrictions), and 13 (Confidentiality). For non-material violations, we will provide 7 days' notice and a reasonable opportunity to cure. Upon termination, your right to use the Services ends, and your data will be handled in accordance with the retention schedule set forth in Section 25 (User Data).
Survival. Sections 2 (Intellectual Property Rights), 9 (AI and Automated Access Restrictions), 11 (Contribution License), 13 (Confidentiality), 19 (Governing Law), 20 (Dispute Resolution), 22 (Disclaimer), 23 (Limitations of Liability), 24 (Indemnification), and 25 (User Data) shall survive any termination or expiration of these Terms.
17. MODIFICATIONS AND INTERRUPTIONS
We may update these Terms or the Services at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. For non-material changes, we will provide notice via website posting. Interruptions may occur for maintenance, unforeseen issues, or events beyond our control, and we are not liable for any resulting downtime.
18. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil unrest, government actions or orders, sanctions, embargoes, labor disputes, power outages, internet or telecommunications failures, failures of third-party cloud infrastructure providers (e.g., AWS, Google Cloud), changes to or outages of third-party platform APIs (e.g., Amazon, Shopify), cyberattacks, or denial-of-service attacks. The affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact. If a force majeure event continues for more than sixty (60) days, either party may terminate these Terms upon written notice.
19. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of Wyoming, USA, without regard to its conflict of law principles.
20. DISPUTE RESOLUTION
Informal Resolution. Before initiating any formal dispute proceeding, each party agrees to first attempt to resolve the dispute through good-faith negotiation by sending written notice to the other party describing the dispute and proposed resolution. The parties shall have 30 days from receipt of such notice to reach a resolution before proceeding to arbitration.
Binding Arbitration. Any disputes arising from these Terms that are not resolved through informal negotiation will be resolved through binding arbitration in Sheridan, Wyoming, under the American Arbitration Association rules. You waive the right to a jury trial and agree that arbitration will be conducted on an individual basis only, with no class actions permitted. Exceptions include: (a) intellectual property disputes, which may be brought in Wyoming courts; and (b) either party may seek relief in a small claims court of competent jurisdiction for claims within that court's monetary limits.
21. CORRECTIONS
We may correct errors or inaccuracies in the Services or these Terms. Your continued use constitutes acceptance of such corrections.
22. DISCLAIMER
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.
Analytics, predictions, insights, and recommendations generated by the Services, including those powered by artificial intelligence or machine learning, are provided for informational purposes only. They should not be relied upon as the sole basis for business, financial, or legal decisions. We do not guarantee the accuracy, completeness, timeliness, or reliability of any AI-generated outputs. Data sourced from third-party platforms (e.g., Amazon, Shopify) is provided as-is and may contain errors, delays, or omissions beyond our control.
Third-Party AI Tools and Integrations. The Services may be accessed through or integrated with third-party artificial intelligence tools, agents, or platforms, including but not limited to AI assistants, large language models, MCP (Model Context Protocol) servers, API integrations, and similar technologies (collectively, "Third-Party AI Tools"). Any analytics, insights, interpretations, summaries, recommendations, or other outputs generated by Third-Party AI Tools based on your ExpandFi data are produced entirely by those third-party systems and are not generated, verified, endorsed, or controlled by ExpandFi. We make no representations or warranties regarding the accuracy, completeness, reliability, or fitness for any purpose of any output produced by Third-Party AI Tools. You acknowledge and agree that: (a) Third-Party AI Tools may produce inaccurate, incomplete, misleading, or biased interpretations of your data; (b) ExpandFi is not responsible for any business decisions made in reliance on outputs from Third-Party AI Tools; (c) the availability, functionality, and behavior of Third-Party AI Tools are outside our control and may change without notice; and (d) your use of Third-Party AI Tools to access ExpandFi data is governed by the terms and privacy policies of those third-party providers, not these Terms. You assume all risk associated with the use of Third-Party AI Tools in connection with the Services.
23. LIMITATIONS OF LIABILITY
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability is limited to the amount you paid us in the one (1) month preceding the claim, or $100, whichever is greater, except in cases of gross negligence or willful misconduct.
24. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ExpandFi LLC and its affiliates from any claims, liabilities, damages, or expenses arising from your use of the Services, including breaches of these Terms, Amazon/Shopify API terms, or applicable laws.
25. USER DATA
You retain ownership of uploaded data. We will maintain and back up your data during your active subscription. Upon termination or cancellation, the following retention schedule applies:
(a) Analytics Data (e-commerce sales data, customer records, reports, and related data imported from Amazon, Shopify, or other connected platforms): Retained for 90 days following termination, after which it will be permanently deleted. We will send you a reminder before the 90-day window closes. Data export functionality is available only while your subscription is active; once your account is terminated or cancelled, you may no longer export your data. You may request immediate deletion of your analytics data at any time during the 90-day retention period.
(b) Account Information (your email address, company name, and account settings): Retained for 90 days following termination to facilitate potential reactivation, after which it will be permanently deleted.
(c) Billing & Payment Records (invoices, transaction history, and payment records): Retained for 7 years following termination as required by applicable tax and accounting laws.
We will notify you of any data breaches as required by law.
Our authorized personnel may access User Data as reasonably necessary to provide, maintain, improve, and support the Services, subject to internal confidentiality obligations. We may use third-party service providers (such as cloud hosting and payment processors) to operate the Services, and your data may be processed by these subprocessors in accordance with our Privacy Policy. We do not sell your data, share it with competitors, or use it for any purpose outside providing and improving the Services.
26. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
You consent to receive electronic communications and agree that electronic signatures are binding. Transactions are conducted electronically via Stripe.
27. MISCELLANEOUS
These Terms constitute the entire agreement between you and ExpandFi LLC regarding the Services. If any provision is invalid, the remaining provisions remain enforceable. We may assign these Terms without notice. Future platform integrations (e.g., Meta, Google Ads) may require acceptance of additional terms, which you will be notified to acknowledge prior to activation.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms do not create any third-party beneficiary rights. The relationship between you and ExpandFi LLC is that of independent parties; nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. Any formal legal notices under these Terms shall be sent to hey@expandfi.com or to the email address associated with your account, and shall be deemed received upon delivery. You may not use the Services in violation of any applicable export control or sanctions regulations.
